Service: The Supplier Premium Service (SPS) is an online service AS defined on the order confirmation page (that linked to these terms).

Terms: These special terms and conditions apply specifically for the Mercell UK CTM Supplier Premium Service (SPS). The general terms and conditions for the use of the other Mercell UK services (accepted during user registration) still apply to all Mercell UK services to the extent not contradictory to these special terms and conditions for the SPS. English law applies to the terms and conditions herein. A dispute concerning these terms and conditions is to be ultimately settled by an English court. Confirmation: You confirm that you are authorized to order the payable SPS on behalf of your organization (the "Buyer") and you accept these terms and conditions on behalf of the Buyer.

Fees, invoicing, payment, cancellation: Fees to cover hosting, maintenance and support the SPS are listed exclusive of VAT. Any applicable VAT will be added if/as required by law. The fees for the SPS will be invoiced by email to your user email address (or any administrator of your organisation account in CTM). The SPS can be used immediately when activated, however it may be terminated by Mercell UK in case a payment from a valid invoice or the credit card payment is not received in accordance with the payment terms.

Subscription Period is 12 months from first order (unless other period defined on the service order page), with automated extensions 12 months at a time unless the service is cancelled.

Prices are in accordance with the current product and price list at any given time. Mercell UK reserves the right to make changes to the price. In case of change in pricing, the new price will apply from the next renewal of the Service. Renewal of existing license period, for instance in the case of the abovementioned point, will entail a new contract period for this purpose. The Buyer can cancel the subscription by giving notice at least 3 months prior to the end of the Subscription Period by sending an email to Mercell UK using the email address below.
